CONSTITUTION AND BY-LAWS

WE, the MEMBERS of METROPOLITAN HUMANITARIAN FOUNDATION, INC., imploring the aid of the Divine Providence, in order to establish an association that shall embody our ideals and aspiration, promote the common goal, conserve and develop our human resources, reestablish and rekindle in our hearts and minds the unique friendship and camaraderie that has bounded us together, and secure to ourselves the blessings of unity under a rule of peaceful equality, do ordain and promulgate this constitution and by-laws.


ARTICLE I


SECTION A. The Association shall henceforth be known as the METROPOLITAN HUMANITARIAN FOUNDATION, INC., and its principal office or business address shall be at Oceanside, CALIFORNIA. 


ARTICLE II


SECTION A. All registered members at the formation of the association, and beyond, and paid their membership, shall be automatically members of this association. 


ARTICLE III


SECTION A. The association is a non-stock and non-profit association, i.e., IRS 501(c)3, conceive and establish to help and render assistance based on humanitarian consideration to:

1) Members. By extending financial assistance in such amount and under circumstances as the officers may determine.

2) Community. To render services to a given community as the officers may determine by way of medical mission.

3) School (Alma Mater) by way of donation that will enhance, promote and develop the intellectual growth of the student and grant scholarship to poor but deserving and qualified students who, because of financial constraint, cannot afford to continue his/her education subject to rules and regulations the officers may promulgate.


ARTICLE V


TERM OF OFFICE


SECTION A. The term of office of the officers elected shall begin _______at 2:00pm of the day they were elected and proclaimed and shall continue to serve for a period of two (2) years from assumption of office unless otherwise removed from office either by resignation or incapacity. Permanent or temporary incumbents are eligible to run for reelection.


ARTICLE VI


DUTIES & RESPONSIBILITIES


SECTION A. The PRESIDENT shall be the implementing arm of the association, and he is empowered to create different committees to oversee the program and activities of the association as approved by the Executive Council (Officers and Board of Directors) which comprise the elected officers. He shall also exercise such powers and perform such duties inherent in the office of the President.


SECTION B. The FIRST VICE PRESIDENT and/or SECOND VICE PRESIDENT, at the request of the President or in the event of absence or disability of the President, shall perform the duties of the President and such other duties as may be required by the President.


SECTION C. The SECRETARY shall in general, perform all duties incident of the office of the Secretary and other duties as from time to time maybe assigned by the President. The Secretary shall be the Custodian of all records.


SECTION D. The TREASURER, shall in general, perform all duties incident to the office of the Treasurer and such duties as from time to time maybe assigned by the President. The duties include, but are not limited to, receiving voluntary contribution and issuing receipts from members, accepting donations from other persons as directed by the President, and shall handle all expensesincurredby the association during official business and exercise due diligence required in keeping the funds of the projects of the association and maintaining timely, accurate, and detailed financial reports.


ARTICLE VII


MEETING AND QUORUM


SECTION A. The regular meeting of the officers to tackle business shall be every 3rd Sunday of the month at a time and place designated by the President. Currently, 1606 Missouri Ave, Oceanside, CA 92054 is designated as the meeting place. The President or any of the Officers may invite in their regular meetings and head or members of the committee created for the purpose of hearing the report of the said committee.


SECTION B. The President may, after the regular executive session, invite or convoke a general assembly for the purpose of leaving their opinion on a given issue to coincide with their regular meeting.


SECTION C. At the request of any member, a special meeting maybe held at a place, time and date designated by the requesting member. (57)


SECTION D. A majority vote of all the members present shall constitute a quorum (11) to transact valid business. 


ARTICLE VIII


MEMBERSHIP DUES


SECTION A. The association can impose a yearly membership fee of $50.00 for principal sponsor, and $25.00 for spouse. Any voluntary amount maybe accepted at anytime after which receipt shall be issued by the Treasurer. 


ARTICLE IX


MISCELLANEOUS PROVISIONS


SECTION A. The Officers and Committee Chairs shall render an annual Financial Report including a Balance Sheet, an Income Statement, and a Statement of Cash Flows at the Annual meeting ending the Fiscal year and said report or Financial Statement shall be open for inspection to all members at any reasonable hours of the day.


SECTION B. The Fiscal year of the association shall begin on the first day of January of every year and shall close on the 31st day of December of each year.


ARTICLE X


TRANSITORY PROVISION


SECTION A. The Constitution and Bylaws maybe amended or repealed by the majority of the members present at any meeting called for the purpose.


SECTION B. All proposed amendment(s) shall be in writing submitted to the Secretary one month before the regular monthly meeting. The Secretary shall provide notice of the proposed amendment(s) to all members one month prior to the meeting and a two-thirds (2/3) votes of all members present is required to pass any proposed amendments(s).


SECTION C. Any proposed Amendment shall take effect only by a majority vote of 11 of the present members called in a plebiscite.


ADOPTED this day ___of __________, 2022 at 1606 Missouri Ave, Oceanside, CA 92054, and by the affirmative votes of all the members present.


MEMBERS present at this meeting unanimously approved and ratified this CONSTITUTION AND BYLAWS on the above date.
